Reduction of the total number of votes in Izostal S.A. below 5% by Aegon Otwarty Fundusz Emerytalny

Legal basis: Art. 70 (1) of the Act on Public Offering - acquisition or disposal of a significant block of shares.

REPORT CONTENTS:
The Management Board of Izostal S.A. (Company) hereby informs that, pursuant to Article 69(1)(2) of the Act of 29 July 2005 on Public Offering, Terms of Introducing Financial Instruments into Organized Trade and on Public Companies, on 19 June 2020 it received a notification from Aegon Powszechne Towarzystwo Emerytalne S.A. with its registered office in Warsaw, in which it informed that Aegon Otwarty Fundusz Emerytalny, as a result of a disposal transaction concluded on 17 June 2020 and settled on 19 June 2020, reduced its holding of Izostal S.A. shares below 5% of votes.

According to the received notice:

"Aegon Powszechne Towarzystwo Emerytalne S.A. informs that as of 17 June 2020 Aegon Otwarty Fundusz Emerytalny held 1,613,927 shares in the Company, which constituted 4.93% of the share capital and 1,613,927 votes from the shares held, constituting 4.93% of the total number of votes.

Before the disposal of the shares, Aegon Otwarty Fundusz Emerytalny held 1,668,977 shares in the Company, which constituted a 5.10% share in the share capital and 1,668,977 votes from the shares held, constituting 5.10% of the total number of votes.

There are no subsidiaries of the notifying shareholder holding shares in the Company.

There are no persons referred to in Article 87(1)(3)(c) of the Act of 29 July 2005 on Public Offering, Terms of Introducing Financial Instruments into Organized Trade and on Public Companies ("Act") in relation to a shareholder.

The funds managed by Aegon PTE S.A. do not have financial instruments referred to in Article 69b(1)(1) and (2) of the Act.”
