Notification of the share of Powszechne Towarzystwo Emerytalne Allianz Polska S.A. in the total number of votes at the General Meeting of Izostal S.A.

Legal basis: Art. 70 (1) of the Act on Public Offering - acquisition or disposal of a significant block of shares.
 
CONTENT OF THE REPORT:
The Management Board of Izostal S.A. (the Company) announces that on May 16, 2023 it received a notice from Powszechne Towarzystwo Emerytalne Allianz Polska S.A., based in Warsaw, managing Allianz Polska Otwarty Fundusz Emerytalny (hereinafter: Allianz OFE), transferred on the basis of Art. 69(1)(1) in connection with Article 87(1)(2b) of the Act on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies (i.e., Journal of Laws of 2022, item 2554, as amended; "Act") that on the basis of Article 69(1) of the Act of August 28, 1997 on the Organization and Operation of Pension Funds (i.e. Journal of Laws of 2022, item 2342, as amended) on 12.05.2023, as a result of the liquidation of the Second Allianz Polska Otwarty Fundusz Emerytalny (hereinafter: Second Allianz OFE) through the transfer of its assets to Allianz OFE, the share in the total number of votes of Izostal S.A. in the accounts of Allianz OFE was above 5%.

According to the notice received:
"Prior to the liquidation of the Second Allianz OFE, the total balance in the accounts of Allianz OFE and Second Allianz OFE amounted to 1 998 242 shares in the Company, which together represented 6.10% of the Company's share capital and gave the right to exercise 1 998 242 votes representing 6.10% of the total number of votes at the Company's General Meeting of Shareholders.

After the liquidation of the Second Allianz OFE, 1 998 242 shares were registered in the account of Allianz OFE, representing 6.10% of the Company's share capital, which gives the right to exercise 1 998 242 votes from shares representing 6.10% of the total number of votes at the Company's General Meeting of Shareholders.

At the same time, Powszechne Towarzystwo Emerytalne Allianz Polska S.A., which manages Allianz OFE, informs that:
• it has no subsidiaries holding shares in the Company,
• the situation described in Article 69(4)(6) of the Act does not arise,
• it also does not have the financial instruments referred to in Article 69b(1)(1) and (2) of the Act."
