Appointment of proxies of Izostal S.A.

CONTENT OF THE REPORT:
The Management Board of Izostal S.A. (Company) informs that by virtue of resolution no. 36/VII/2011 of March 4, 2011 it appointed Mr. Marek Matheja and Mr. Michał Pietrek Company proxies. The Management Board granted joint procuration to each of the above-mentioned persons which means that a proxy must act together with at least one Management Board member to perform court and out-of-court activities.

Mr. Marek Matheja has higher education (graduate in Management, major in banking and insurance). Mr. Marek Matheja completed courses in controlling, International Accounting Standards and tax law.

Detailed information on the professional career of Mr. Marek Matheja:  
Employed in Izostal S.A. since 1997 held the following positions:
- from 11.1997 – Accounting clerk
- from 08.1998 - Analyst
- from 04.2000 - Manager of the Analyses and financial settlements team
- from 06.2003 – Chief Economist for  analyses and settlements
- from 10.2005 – Chief Accountant

Mr. Marek Matheja does not conduct competitive activity towards Izostal S.A., nor is he involved in competitive companies as a partner in civil law partnerships, private companies or a as a member of a body in a capital company, nor in any other competitive legal entity as a member of its body, nor does he appear in the Insolvent Debtors' Register kept based on the act on the National Court Register.

Mr. Michał Pietrek has higher education (graduate of the University of Science and Technology in Kraków, Department of Metallurgy and Materials Engineering, bachelor's degree from the University of Opole, Department of Mathematics, Physics and Chemistry, also completed post-graduate studies in Marketing and management in gas industry, Department of Oil and Gas Drilling at the University of Science and Technology in Kraków).

- 1991-1994 – Przedsiębiorstwo Produkcyjno – Remontowe Energetyki Energoserwis w Lublińcu -Installation electrician
- 1996-2000 -  Izostal S.A. –  at the following positions: Commercial Specialist, Staff worker for Commercial issues, Manager of the Domestic Trade Team.
- 2000-2001 – Eurotube S.A. - Commercial Specialist
- 2001-2002 - Huta Andrzej S.A. - Product Manager and Department Manager
- since 2002 again employed in Izostal S.A. at the following positions: Chief Specialist for Trade, Deputy Projects  Director, Deputy Commercial Director and currently Director of the Domestic Sales Office.

Mr. Michał Pietrek does not conduct competitive activity towards Izostal S.A., nor is he involved in competitive companies as a partner in civil law partnerships, private companies or a as a member of a body in a capital company, nor in any other competitive legal entity as a member of its body, nor is he registered in the Insolvent Debtors' Register kept based on the act on the National Court Register.
